Terms of Use

Agreement and operator

These Terms of Use govern the Lumva iOS application and the administrative website at lumva.org. “Lumva” means the application, website, documentation, and related administrative materials operated by Escalate Enterprises, LLC. “Escalate,” “we,” “us,” and “our” mean Escalate Enterprises, LLC, a California limited liability company with its principal place of business in Irvine, California.

By using Lumva, the authorized user agrees to these Terms. If the authorized user does not agree, the user must stop using Lumva.

Lumva is not a nonprofit program. A Chicago, Illinois nonprofit is planned but has not been formed and does not own, operate, sponsor, or administer Lumva.

Eligibility and restricted access

Lumva is adult-only, internal, work-based, and limited to individually assigned Lumva employees. It is not open to public registration, public invitations, or shared public access. Access may not be transferred or shared without Escalate's approval.

Participation in a private TestFlight group, if later approved, is testing authorization and does not by itself grant production-use authorization. No public beta group or public TestFlight link is authorized.

Lumva uses its own single-tenant Microsoft identity boundary. Access requires a named Lumva workforce identity and an explicit Lumva app role or employee-group assignment. Lumva does not use Comparsa or the Escalate employee portal to authenticate users. Credentials and interactive identities may not be shared.

Limited license

Subject to these Terms and the applicable Apple end-user license, Escalate grants the authorized user a limited, revocable, nonexclusive, nontransferable license to use the approved Lumva build on authorized Apple devices for approved internal purposes. No right is granted to sublicense, sell, publicly distribute, rent, lease, or commercially exploit Lumva.

Prohibited uses

The user may not:

  • give Lumva or an authorized device to an unauthorized person for access;
  • use Lumva for unlawful, fraudulent, deceptive, discriminatory, harassing, or harmful activity;
  • enter information the user has no right or authorization to use;
  • use Lumva as a patient record, official medical record, emergency system, bank ledger, accounting system of record, tax-filing system, legal case-management system, or government filing system;
  • attempt to defeat device protections, access another person's information, introduce malicious code, or interfere with the application or website;
  • reverse engineer or modify Lumva except to the extent applicable law expressly permits despite this restriction;
  • represent a draft, calculation, checklist, resource link, or suggested output as verified professional advice; or
  • imply that Lumva is operated by, sponsored by, or affiliated with the planned Illinois nonprofit or another organization when that relationship has not been established.

What Lumva provides

Lumva is an organization, drafting, tracking, and informational tool. It may help the user organize daily planning, salon operations, client records, navigation notes, manual financial entries, receipts, tax-document status, relocation planning, nonprofit launch planning, wellness information, message drafts, goals, and administrative settings.

Lumva does not verify that information entered by the user is complete, current, accurate, lawful, or suitable for a particular decision. The user remains responsible for reviewing records, drafts, calculations, dates, links, and actions.

Medical, mental-health, substance-use, and emergency limits

Lumva is not a healthcare provider, treatment provider, clinical record, medical device, mental-health service, substance-use treatment service, or crisis service. Wellness fields are optional organizational fields and are not designed to diagnose, treat, prevent, or manage a medical or mental-health condition.

Do not rely on Lumva for symptoms, diagnosis, medication, treatment, safety planning, emergency assessment, or clinical decisions. Seek a qualified professional for medical, mental-health, or substance-use advice. For imminent danger or a medical emergency in the United States, call 911. For suicide, mental-health, emotional distress, or substance-use crisis support in the United States, call or text 988.

Banking, investment, and financial limits

Lumva is not a bank, credit union, lender, payment processor, broker, investment adviser, or financial institution. The reviewed build has no bank connection, payment processing, money movement, or investment service.

Balances, transactions, debts, income, and other financial entries depend on manual input. They may be incomplete, outdated, duplicated, or incorrect. Verify them against authoritative statements and records before making a payment, budget, credit, tax, accounting, or investment decision.

Message drafts and AI-assisted output

Lumva includes a proposal-only Qwen assistant for assigned employees. The assistant is available only when its in-product status shows ready. When the user submits a message, Lumva sends the conversation text and approved nonprofit planning context to Alibaba Cloud Model Studio for processing. Lumva does not automatically send messages or apply the assistant's output to a workspace record.

The user must review every message before sending it outside Lumva. The user must treat AI-assisted output as an unverified draft, check facts and tone, remove unnecessary private information, and obtain any required professional, board, founder, or third-party approval before use. AI output may be incomplete, incorrect, biased, outdated, or unsuitable. Do not use Lumva as a substitute for legal, clinical, tax, accounting, financial, or compliance advice.

Data, backups, and user responsibility

The reviewed iOS build stores its records locally. Structured iOS data may enter an Apple device backup if the user enables backup. Saved iOS receipt image files are excluded from backup. The employee website separately stores owner-scoped workspace records in Cloudflare D1 and private website receipt uploads in Cloudflare R2.

The user is responsible for physical device security, a strong device passcode, current iOS software, appropriate Apple backup settings, account security, lawful data entry, and preserving needed records before removing the app or device. Support cannot remotely inspect, export, correct, recover, or delete local iOS records that Escalate does not receive.

Lumva has no complete export-all, erase-all, or guaranteed recovery feature. Website record deletion creates a synchronization tombstone and may retain earlier versions for security, recovery, compliance, dispute handling, or legal obligations. A verified request for a cloud-data export, correction, or deletion may require operator assistance.

Third-party services

Apple provides the operating system, app-distribution environment, optional device backup, system photo picker, and platform services. OpenAI Sites manages website deployment, and Cloudflare provides domain registration, DNS, active Worker website hosting, D1 structured-data storage, private R2 receipt storage, and D1-backed API rate limiting. Microsoft provides Lumva workforce authentication, which is active for the website, and support email. When the Qwen status shows ready, Alibaba Cloud Model Studio processes submitted assistant conversation text. Compatible browser or operating-system speech services may process voice input or spoken output when the user chooses those controls. Third-party websites may open only when the user selects a link. The current iOS product remains pre-release and local-storage based.

Firebase, Google Calendar, Gmail integration, Microsoft 365 Copilot, analytics, advertising, external crash reporting, bank connections, payment processing, synchronization from the iOS app, and automatic message sending are not active. A future-facing interface or mock control is not a promise that an integration will become available.

Intellectual property and user information

Lumva and its materials may be protected by copyright, trademark, contract, and other laws. These Terms do not make a representation about an unverified chain of title, trademark registration, or ownership of every component. Third-party names and materials remain subject to their respective owners' rights.

As between the user and Escalate, the user retains whatever rights the user already has in information the user enters. The limited license in these Terms does not transfer ownership of that information to Escalate. The user remains responsible for having authority to use information about clients, coworkers, employers, or other people.

Suspension, termination, and removal

Escalate may withdraw future authorization, documentation, support, or distribution access when reasonably necessary for security, legal compliance, misuse, or discontinuation. Apple may also end access to a beta build or distribution channel under its rules.

Escalate can revoke website authorization through the Lumva Microsoft tenant, although an existing signed website session may remain valid for up to two hours. Revoking website access does not automatically erase cloud records. Escalate cannot promise that withdrawing authorization will remotely erase or disable an already installed local iOS build. The user must stop using an unauthorized build and remove it from the device, subject to understanding local data and backup consequences.

The user may stop using Lumva at any time. Removing the app ordinarily removes its local app container, but structured records may remain in an Apple backup.

No professional or operational guarantee

Lumva is provided for approved internal use. To the maximum extent applicable law permits, Escalate does not promise uninterrupted availability, error-free operation, data recovery, correct calculations, successful filings, provider availability, funding, eligibility, health outcomes, financial outcomes, or the accuracy of third-party information. Nothing in these Terms limits a right or remedy that applicable law does not allow Escalate to waive.

These Terms do not include mandatory arbitration, a class-action waiver, indemnification, or an unusual damages cap.

Governing law and venue

California law governs these Terms and the use of Lumva, without regard to California conflict-of-law rules, because Escalate is formed in California and has its principal place of business in Irvine. Mandatory federal law and any nonwaivable law of the place where the user works or uses Lumva, including applicable Illinois law for activity in Chicago, remain preserved.

Except where applicable law gives a party a nonwaivable right to proceed elsewhere, any court proceeding arising from these Terms or Lumva must be brought in the state courts located in Orange County, California, or the United States District Court for the Central District of California. Each party consents to those courts' personal jurisdiction. The planned Illinois nonprofit is not a basis for governing law or venue because it does not exist and does not operate Lumva.

Apple end-user license

If Lumva is distributed through Apple, the application license will be governed by Apple's Standard End User License Agreement unless App Store Connect presents a valid custom end-user license agreement. These Terms address Lumva's internal product and website rules and do not replace Apple's license terms. If a conflict concerns the Apple app license, the applicable Apple license controls that issue.

Escalate is responsible for Lumva product support to the extent required by the applicable Apple terms. Apple is not responsible for providing Lumva support. Apple and its subsidiaries are third-party beneficiaries of the applicable end-user license as stated in Apple's Standard End User License Agreement.

As of the Effective Date, the Apple developer-account migration and production distribution setup are unresolved. These Terms do not state that Escalate currently holds the Apple Developer Program membership, and they do not authorize registration, signing, upload, App Store Connect creation, or TestFlight distribution.

Changes to these Terms

Escalate may update these Terms when Lumva's features, distribution, data practices, support methods, or legal requirements change. Material changes will be communicated by updating the effective date and posting a prominent notice on lumva.org or, when available and appropriate, providing an in-app or direct notice before the change takes effect.
